1. Acceptance of Terms

By accessing or using the Realee.ai website (the "Website") or any services provided by Realee.ai (the "Services"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, do not access or use the Website or Services.

2. Description of Services

Realee.ai provides AI-powered lead management, workflow automation, and appointment scheduling services as described on the Website and in the Client Agreement.

3. User Responsibilities

You are responsible for:

• Providing accurate and complete information when registering for the Services.
• Maintaining the confidentiality of your account credentials.
• Complying with all applicable laws and regulations when using the Services.
• Obtaining all necessary consents for the data you provide to Realee.ai, as detailed in the Client Agreement and Realee.ai’s Privacy Policy. This includes obtaining express, informed, and verifiable consent as required by CASL, PIPEDA, and all other applicable laws.

4. Acceptable Use

You agree not to:

• Use the Services for any illegal or unauthorized purpose.
• Impersonate any person or entity.
• Interfere with or disrupt the Services or servers.
• Attempt to gain unauthorized access to any part of the Website or Services.
• Use any automated system or software to access or collect data from the Website or Services (scraping).
• Violate any intellectual property rights of Realee.ai or any third party.

5. Intellectual Property

All content on the Website and Services, including but not limited to text, graphics, logos, and software, is the property of Realee.ai and is protected by copyright and other intellectual property laws.

Client Data remains the property of the Client. Realee.ai is granted a non-exclusive, perpetual, irrevocable, worldwide license to process Client Data solely for the purpose of providing the Services as described in the Client Agreement.

6. Disclaimer of Warranties

The Services are provided "as is" and "as available" without any warranties of any kind, express or implied. Realee.ai does not warrant that the Services will be uninterrupted, error-free, or that all errors will be corrected.

Realee.ai does not warrant the accuracy or reliability of any data, information, or content provided through the Services, including, but not limited to, voice transcriptions, lead qualification assessments, or appointment scheduling. Client acknowledges that AI technology is inherently probabilistic and that human oversight is recommended.

7. Limitation of Liability

To the fullest extent permitted by law, Realee.ai shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Website or Services, even if Realee.ai has been advised of the possibility of such damages.

Realee.ai's total liability to you for any claim arising out of or related to these Terms or the Services shall be limited to the amount you have paid to Realee.ai for the Services during the twelve (12) months preceding the date of the claim.

8. Indemnification

You agree to indemnify and hold harmless Realee.ai from any claims, damages, or losses arising out of your use of the Website or Services, your breach of these Terms, or your violation of any law or regulation.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.

10. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration conducted in Toronto, Ontario, in accordance with the Arbitration Act, 1991 (Ontario). The language of the arbitration shall be English.

11. Changes to Terms

Realee.ai reserves the right to modify these Terms at any time. We will notify you of any material changes. Your continued use of the Website or Services after such notice constitutes your acceptance of the modified Terms.

12. Entire Agreement

These Terms, along with the Realee.ai Privacy Policy and the Client Agreement (if applicable), constitute the entire agreement between you and Realee.ai. In case of conflict between these Terms and a specific Client Agreement, the Client Agreement shall prevail.
